AMC Entertainment Holdings, Inc. (NYSE: AMC) rose over 2.32% to trade at $6.19 in early trading session on Friday as Odeon Finco PLC stated that it has begun a private offering of $400.0 million aggregate principal amount of senior secured notes due 2027, subject to market and other conditions. The Issuer is an indirect subsidiary of AMC Entertainment Holdings, Inc. (NYSE: AMC) and a wholly-owned direct subsidiary of Odeon Cinemas Group Limited. The Notes will be guaranteed senior secured by OCGL and certain OCGL subsidiaries, and unsecured standalone by AMC. Odeon plans to use the Offering proceeds, along with cash on hand, to support the full repayment of OCGL’s current term loan facilities, as well as related fees, charges, premiums, and expenditures.
The International Stock Exchange Authority Limited is anticipated to make an application to list the Notes on the International Stock Exchange’s Official List and to give authority to trade in the Notes on the Exchange’s Official List.
The Notes and accompanying guarantees are being sold only to individuals reasonably believed to be qualified institutional buyers in accordance with Rule 144A of the Securities Act of 1933, as amended, and only to non-U.S. investors outside the United States in accordance with Regulation S. The Notes have not been and will not be registered under the Securities Act or any other jurisdiction’s securities laws, and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements, or in a transaction not subject to the Securities Act or any state securities laws.
AMC Theatres Has Secured Its First-Ever Deal with Netflix
AMC Theatres (NYSE:AMC) announced that it has secured it’s first-ever deal with Netflix (NFLX) to screen a Netflix film in a theater. GLASS ONION: A KNIVES OUT MYSTERY will be shown at more than 200 AMC theaters around the country from November 23 to November 29. It will also be shown at certain Odeon Cinema Group sites in the United Kingdom, Ireland, Italy, Germany, and Spain.
The deal with Netflix to screen GLASS ONION: A KNIVES OUT MYSTERY adds another significant theatrical title to an already intriguing lineup of films that will appeal to a wide audience during Thanksgiving weekend.
